This is part of the By-laws of the JCA:

5. PROCEDURAL RULES

a)

The Charter may contain policies and procedures which are not duplicated or addressed in the JCA By-laws. In this case, these policies and procedures will be considered to be part of the By-laws.

b)

Quorum for JCA Executive Board meetings

The quorum for board meetings will be a simple majority vote of the members of the Board. In addition, a quorum must include at least one representative from the University and at least one representative from Goddard.

c)

Executive Board decisions

Decisions of the Executive Board can only be made if a quorum is present. Decisions are by a simple majority of the members present. The Executive Board Chair can decide on a case by case basis that more than a quorum of Board members are needed to decide a particular issue. Voting by proxy may be allowed at the discretion of the Chair and by prior notification.

d)

Appointment of the Chairperson of the Board

The Chairperson of the Board shall be elected by the members of the Board from the Goddard members and shall serve a one-year term. The Chairperson may be elected to serve additional terms.
